**1. Introduction**  

1.1 Welcome to the techkloud platform (the “Website”). Before using the Website or opening a techkloud account (the “Account”), please read the following Terms of Service carefully to understand your legal rights and obligations. The “Services” we provide include (a) the Website, (b) services provided through the Website and the techkloud client software, and (c) all information, linked pages, features, data, text, images, photos, graphics, music, sounds, videos (including live streams), messages, tags, content, programming, software, application services (including but not limited to any mobile application services), or other materials (“Content”) provided through the Website or its related services. Any new features added to or enhancing the Services are also subject to these Terms of Service. These Terms of Service govern your use of the Services provided by techkloud.  

1.2 The Services include an online platform service that provides a venue and opportunities for the sale of goods between buyers (“Buyers”) and sellers (“Sellers”) (collectively referred to as “You,” “Users,” or “Parties”). The actual sales contract is entered into directly between Buyers and Sellers. techkloud is not a party to such contracts or any other agreements between Buyers and Sellers and assumes no obligations related to such contracts. The Parties to such transactions shall bear full responsibility for their sales contracts, product listings, purchase guarantees, etc. techkloud does not participate in transactions between Users. techkloud may or may not pre-screen Users or Content or information provided by Users. techkloud reserves the right to remove any Content or information you post on the Website under Clause 6.4 herein.  

1.3 Before becoming a User of the Website, you must read and accept all terms and conditions in these Terms of Service, as well as all related terms and conditions, and you must agree to the processing of your personal data as described in the linked Privacy Policy.  

1.4 techkloud reserves the right to change, modify, suspend, or terminate the Website or Services, in whole or in part, at any time with or without notice, as required by local laws. techkloud may release certain Services or features in beta versions, which may not function properly or as intended, and we assume no liability in such cases. techkloud may also, at its sole discretion, restrict certain features or limit your access to parts or all of the Website or Services without prior notice or liability.  

1.5 techkloud reserves the right to deny you access to the Website or Services or to allow you to open an Account for any reason.  

By using the techkloud Services or opening an Account, you irrevocably accept and agree to the terms of this Agreement, including additional terms, conditions, and policies referenced and/or linked herein.  

If you do not agree to these terms, do not use our Services or access the Website. If you are under 18 years of age or have not reached the legal age to consent to this Agreement under the applicable laws of your country (“Legal Age”), you must obtain permission from a parent or legal guardian to open an Account, and such parent or legal guardian must agree to the terms of this Agreement. If you are unsure whether you have reached the Legal Age or do not understand this section, do not create an Account until you seek assistance from a parent or legal guardian. If you are a parent or legal guardian of a minor who creates an Account, you must accept the terms of this Agreement on behalf of the minor and will be responsible for all use of the Account or Services.  

**2. Privacy**  

2.1 Your privacy is important to techkloud. To better protect your rights, we provide the techkloud Privacy Policy, which details our privacy practices. Please review the Privacy Policy to understand how techkloud collects and uses information related to your Account and/or use of the Services (“User Information”). By using the Services or providing information on the Website, you:  

(i) Consent to techkloud’s collection, use, disclosure, and/or processing of your Content, personal data, and User Information as described in the Privacy Policy;  

(ii) Agree and acknowledge that ownership of your User Information is jointly held by you and techkloud; and  

(iii) Shall not disclose your User Information to any third party, directly or indirectly, or otherwise permit any third party to access or use your User Information without techkloud’s prior written consent.  

2.2 Users who possess personal data of other Users through the use of the Services (“Recipients”) hereby agree that they will (i) comply with all applicable personal data protection laws regarding such data; (ii) allow the User whose personal data has been collected (“Disclosing Party”) to delete such data from the Recipient’s database; (iii) in each case of (ii) and (iii), allow the Disclosing Party to review what information about them has been collected by the Recipient in compliance with applicable laws.  

**3. Limited License**  

3.1 techkloud grants you a limited, revocable license to access and use the Services under the terms and conditions of these Terms of Service. All proprietary content, trademarks, service marks, brand names, logos, and other intellectual property (“Intellectual Property”) displayed on the Website are the property of techkloud and third-party owners identified on the Website (where applicable). No rights or licenses to use or copy any Intellectual Property are granted directly or indirectly to any party accessing the Website, and no party shall claim any rights, ownership, or interest therein. By using or accessing the Services, you agree to respect the copyrights, trademarks, service marks, and all other applicable laws protecting the Services, Website, and its Content. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell, or create derivative works of the Services, Website, or any portion thereof. You shall not mirror or frame any part or all of the Website’s Content on any other server or website without our prior written consent. Additionally, you agree not to use any robots, spiders, or other automated devices or manual processes to monitor or copy our Content (except for standard search engine technology used by internet search websites to direct users to the Website).  

3.2 You are welcome to link to the Website from your website, provided your website does not imply any endorsement by or affiliation with techkloud. You acknowledge that techkloud may, at its sole discretion, cease providing part or all of the Services at any time without notice.  

**4. Software**  

4.1 Any software provided to you as part of the Services is subject to these Terms of Service. techkloud reserves all rights to the software not expressly granted under this Agreement. Third-party scripts or code linked to or referenced by the Services are licensed to you by their respective third-party owners, not techkloud.  

**5. Account and Security**  

5.1 Certain features of our Services require registration of an Account by selecting a unique user identifier (“User ID”) and password and providing certain personal information. If your chosen User ID is deemed offensive or inappropriate by techkloud, techkloud reserves the right to suspend or terminate your Account. You may use your Account to access other products, websites, or services that we have enabled access to or partnered with. techkloud has not reviewed any third-party content, features, security, services, privacy policies, or other practices of such products, websites, or services and assumes no responsibility.  

5.2 You agree to (a) keep your password confidential and use only your User ID and password to log in; (b) log out of your Account at the end of each session on the Website; (c) immediately notify techkloud of any unauthorized use of your Account, User ID, and/or password; and (d) ensure your Account information is accurate and up-to-date. You are fully responsible for all activities under your User ID and Account, even if such activities are not conducted by you. techkloud is not liable for any loss or damage arising from unauthorized use of your password or your failure to comply with this section.  

5.3 You agree that techkloud may, for any reason, at its sole discretion, with or without notice to you or any third party, immediately suspend, freeze, or terminate your Account and User ID, remove or discard any Content associated with your Account and User ID, revoke any subsidies provided to you, cancel transactions related to your Account and User ID, temporarily or permanently withhold any sales proceeds or refunds, and/or take any other action techkloud deems necessary. Reasons for such actions may include, but are not limited to, actual or suspected (a) prolonged inactivity; (b) violation of the letter or spirit of these Terms of Service; (c) illegal, fraudulent, harassing, defamatory, threatening, or abusive conduct; (d) possession of multiple User Accounts; (e) purchasing products on the Website for commercial resale purposes; (f) abnormal or excessive purchases from the same Seller or related Seller groups; (g) voucher abuse (including selling vouchers to third parties, selling vouchers above face value, or abnormal/excessive use of vouchers); or (h) actions harming the commercial interests of other Users, third parties, or techkloud. Accounts used for illegal, fraudulent, harassing, defamatory, threatening, or abusive purposes may be reported to law enforcement without notice.  

5.4 Users may terminate their Accounts by notifying techkloud in writing (via email to help@support.techkloud.com.sg). Notwithstanding such termination, Users remain responsible for incomplete transactions (whether initiated before or after termination), product shipments, payments, etc. Users must promptly contact techkloud and complete all pending transactions in accordance with the Terms of Service. techkloud is not liable for any damages arising from actions taken under this section. Users waive all claims against techkloud for any such actions.  

5.5 You may only use the Services and/or open an Account if you reside in one of the approved countries as updated by us from time to time.  

**6. Terms of Use**  

6.1 The license to use the Website and Services remains effective until terminated. This license will terminate under the provisions of these Terms of Service or if you fail to comply with any terms or conditions. In such cases, techkloud may terminate this license with or without notice.  

6.2 You agree not to:  

(a) Upload, post, transmit, or otherwise provide any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of privacy, hateful, or racially/ethnically offensive;  

(b) Violate any laws, including those related to import/export restrictions, third-party rights, or our Prohibited and Restricted Items Policy;  

(c) Upload, post, transmit, or otherwise provide any content featuring unsupervised minors or use the Services to harm minors;  

(d) Impersonate any individual or entity or misrepresent your affiliation with a person or entity;  

(e) Forge headers or manipulate identifiers to disguise the origin of content transmitted through the Services;  

(f) Remove any proprietary notices from the Website;  

(g) Modify, create derivative works, or translate the Services without techkloud’s explicit permission;  

(h) Use the Services for the benefit of any third party or in any unauthorized manner;  

(i) Use the Services or upload content fraudulently, unreasonably, falsely, misleadingly, or deceptively;  

(j) Operate multiple User Accounts for activities violating these Terms of Service;  

(k) Use simulators, emulators, bots, or similar hardware/software to access the techkloud platform, open Accounts, or access your Account;  

(l) Manipulate item prices or interfere with other Users’ listings;  

(m) Undermine feedback or rating systems;  

(n) Decompile, reverse engineer, disassemble, or hack the Services (or any part thereof), or bypass encryption/security measures;  

(o) Collect personal data or information about other Account holders;  

(p) Upload, email, post, transmit, or provide any content you are not legally entitled to share;  

(q) Infringe any patent, trademark, trade secret, copyright, or other proprietary rights;  

(r) Transmit unsolicited or unauthorized advertising, spam, chain letters, pyramid schemes, or solicitations;  

(s) Upload materials containing viruses, worms, Trojan horses, or malicious code;  

(t) Disrupt normal communication flow or negatively affect real-time interactions;  

(u) Interfere with or disrupt the Services, connected servers/networks, or other Users’ enjoyment;  

(v) Take actions that harm, overload, or impair the Services or connected servers/networks;  

(w) Violate applicable local, state, national, or international laws;  

(x) Use the Services to violate sanctions or embargoes imposed by authorities;  

(y) Infringe others’ privacy or harass others;  

(z) Infringe techkloud’s rights, including intellectual property;  

(aa) Collect personal data related to prohibited activities;  

(bb) List items infringing third-party intellectual property rights;  

(cc) Encourage Users to transact outside the Website.  

6.3 You understand that all Content, whether publicly posted or privately transmitted, is the sole responsibility of its originator. Thus, you (not techkloud) are fully responsible for all Content you upload, post, email, transmit, or provide via the Website. You acknowledge that using the Website may expose you to offensive or objectionable content. To the maximum extent permitted by law, techkloud is not liable for any Content, including errors, omissions, or damages arising from reliance on such Content.  

6.4 You acknowledge that techkloud and its designees reserve the right (but not the obligation) to pre-screen, reject, delete, suspend, remove, or move any Content, including your Content, without liability. Reasons for removal include (i) violations of these Terms or our Prohibited Items Policy; (ii) User complaints; (iii) intellectual property infringement notices; or (iv) offensive content. We may also block communications to protect the Services or enforce these terms. You agree to assume all risks associated with using any Content.  

6.5 You agree that techkloud may access, preserve, and disclose your Account information and Content to legal, regulatory, or governmental authorities, rights holders, or third parties if required by law, court order, or to (a) comply with legal processes; (b) enforce these Terms; (c) respond to intellectual property claims; (d) address customer service requests; (e) protect techkloud’s rights, property, or safety.  

**7. Violations of Our Terms of Service**  

7.1 Violations may result in actions including but not limited to:  

• Listing removal  

• Account restrictions  

• Account suspension/termination  

• Criminal charges  

• Civil claims for damages or injunctive relief  

7.2 To report violations, contact help@support.techkloud.com.sg.  

**8. Reporting Intellectual Property Infringements**  

8.1 techkloud prohibits listings that infringe intellectual property rights (“IP Owners”).  

8.2 Users are independent individuals or businesses with no affiliation to techkloud. techkloud does not hold or own items listed on the Website.  

8.3 IP Owners or authorized agents (“IP Agents”) may submit an IPR form and required documents to report infringements. techkloud will respond promptly.  

8.4 Complaints must include:  

(a) Physical/electronic signature of the IP Owner/Agent;  

(b) Description of the IP rights and proof;  

(c) Detailed description of the infringement;  

(d) URL of the infringing listing;  

(e) Complainant’s contact information;  

(f) Good-faith declaration;  

(g) Accuracy declaration and indemnification.  

8.5 Violations of exclusive distribution or pricing agreements do not constitute IP infringement. techkloud does not enforce such agreements unless required by law.  

8.6 Sellers agree to indemnify techkloud against claims arising from content removal due to IP infringement claims.  

**9. Purchases and Payments**  

9.1 techkloud supports the following payment methods in applicable countries:  

(i) Credit Cards: Processed via third-party channels.  

(ii) Cash on Delivery (COD): Available in select countries.  

(iii) Bank Transfer: Payments to a designated techkloud account. Upload proof via the “Upload Receipt” feature. Orders canceled if unconfirmed within 3 days.  

(iv) Installment Plans: For orders over SGD 500. Supported by DBS and UOB banks.  

(v) SPayLater: Deferred payments via SeaMoney Capital Singapore Pte. Ltd.  

9.2 Buyers may only change payment methods before completing payment.  

9.3 techkloud is not liable for losses due to incorrect shipping/payment details. We reserve the right to verify payment authorization and suspend/cancel transactions.  

**10. Seller Wallet**  

10.1 Your Account allows storage of sales proceeds (“Seller Wallet”). The balance reflects funds minus withdrawals.  

10.2 You may submit one withdrawal request per day to transfer funds to your linked bank account (“Linked Account”). Transfers may take up to two business days.  

10.3 Sellers receive one free withdrawal per week. Additional withdrawals incur SGD0.12 fees (plus GST). techkloud may adjust withdrawal limits/fees.  

10.4 Sales proceeds are credited to your Seller Wallet within 3 days of delivery or upon Buyer confirmation.  

10.5 Withdrawal requests cannot be modified or canceled once submitted.  

10.6 Errors in transactions authorize techkloud to debit/credit your Linked Account. Unclaimed funds may be submitted to Singapore’s Unclaimed Moneys Registry.  

10.7 You authorize techkloud to debit/credit your Seller Wallet for:  

(i) Transaction corrections;  

(ii) Fraudulent/suspicious activity;  

(iii) Lost/damaged items;  

(iv) Rewards/rebates;  

(v) Uncollected fees;  

(vi) Dispute resolutions;  

(vii) Prohibited/customs-seized items;  

(viii) Mutual agreement changes;  

(ix) Outstanding debts (including late fees/interest).  

10.8 techkloud may limit, freeze, or suspend your Seller Wallet for any reason, including unpaid debts.
